These Terms and Conditions (“Terms”) govern your access to and use of the products, services, and software provided by Infinity AI (Private) Limited. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you must not use our services.
Infinity AI (Private) Limited is a company incorporated under the laws of Sri Lanka, with its registered address at 12/2B, Sudarshana Road, Off Hill Street, Dehiwala 10350, Sri Lanka. Inquiries may be directed to [email protected].

Specific projects may be governed by separate agreements and Statements of Work (“SOWs”). Where such documents conflict with these Terms, the separate agreement or SOW shall take precedence for that engagement.
You must be at least 18 years old and legally capable of entering into a binding contract to use our services. If you use the services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Infinity AI retains all rights, title, and interest in and to its platforms, AI models, system architecture, source code, documentation, and branding. No rights are granted except as expressly set out in these Terms or a separate written agreement.
For custom development engagements, the client receives a license to use the delivered work unless a written agreement specifies a transfer of ownership. In all cases, Infinity AI retains all rights to its underlying frameworks, libraries, tools, AI models, and reusable components.
Unless otherwise agreed in writing, invoices are due within 14 days of the invoice date. Late payments may incur interest at the maximum rate permitted by law. Non-payment may result in suspension of services. All fees are exclusive of applicable taxes, which are the responsibility of the client.
Each party agrees to protect the other's confidential information and not to disclose it, except where: (a) authorized in writing; (b) required by law; or (c) disclosed to subcontractors or advisors who are bound by equivalent confidentiality obligations.
Where Infinity AI processes personal data on behalf of a client, it acts as a Data Processor under applicable law and implements appropriate technical and organizational safeguards. Our handling of personal data is further described in our Privacy Policy.
Except as expressly stated in a separate written agreement, the services are provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not guarantee uninterrupted or error-free operation, the achievement of specific results, or compatibility with all third-party systems. AI-generated outputs may contain inaccuracies and should be independently verified before reliance.
To the maximum extent permitted by law, Infinity AI shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, or data. Our total aggregate liability arising out of or relating to the services shall not exceed the total fees paid by the client to Infinity AI during the twelve (12) months preceding the event giving rise to the claim.
You agree to indemnify and hold harmless Infinity AI from and against any claims, damages, liabilities, and expenses arising from your misuse of the services, your violation of applicable law, or any infringement resulting from materials you provide to us.
We may suspend or terminate services in the event of a material breach, non-payment, or where required by law. Upon termination, all outstanding payments remain due, and any provisions which by their nature should survive termination shall continue to apply.
Neither party shall be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, war, civil unrest, governmental action, or infrastructure or network failures.
These Terms are governed by and construed in accordance with the laws of Sri Lanka. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Sri Lanka, unless the parties agree otherwise in writing.
We may update these Terms from time to time. Updated Terms take effect upon posting, and your continued use of the services constitutes acceptance of the revised Terms.
